1. Acceptance of Terms

By accessing or using the Thread Writer platform available at https://www.threadwriter.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Thread Writer ("we," "our," or "us"). We may modify these Terms at any time, and your continued use of the Service following any changes constitutes acceptance of the revised Terms.

2. Description of Service

Thread Writer is a software-as-a-service (SaaS) platform that enables users to create, schedule, manage, and publish content to Threads and other supported social media platforms. The Service includes features such as content drafting, post scheduling, analytics, team collaboration, and account management tools. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. User Accounts

To access certain features of the Service, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information to keep it accurate and complete
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Immediately notify us of any unauthorized use of your account or any other breach of security

You must be at least 16 years of age to create an account and use the Service. We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

4. Subscription and Billing

The Service is offered under various subscription plans. By selecting a paid plan, you agree to the following:

  • Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan)
  • You authorize us to charge your designated payment method for all applicable fees
  • Prices are subject to change with 30 days' prior notice
  • Refunds are handled in accordance with our refund policy; generally, subscription fees are non-refundable except as required by applicable law
  • Failure to pay may result in suspension or termination of your access to the Service

Free trial periods, if offered, will automatically convert to a paid subscription unless you cancel before the trial period ends.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service to post, schedule, or distribute content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity
  • Use the Service to send spam, unsolicited messages, or engage in automated bulk posting that violates the terms of connected social media platforms
  • Attempt to gain unauthorized access to the Service, other user accounts, or computer systems or networks connected to the Service
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Use any automated means, including bots, scrapers, or crawlers, to access the Service except through our published APIs
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
  • Violate the terms of service of any third-party platform connected through the Service, including Meta's Threads platform

6. Intellectual Property

The Service, including its original content, features, functionality, design, and underlying technology, is and shall remain the exclusive property of Thread Writer and its licensors. The Service is protected by copyright, trademark, trade secret, and other intellectual property laws.

You retain all ownership rights to the content you create and publish through the Service. By using the Service, you grant us a limited, non-exclusive, royalty-free license to use, store, and process your content solely for the purpose of providing and improving the Service. This license terminates when you delete your content or your account, except for content that has already been published to third-party platforms.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THREAD WRITER, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to, use of, or inability to access or use the Service
  • Any conduct or content of any third party on the Service, including any defamatory, offensive, or illegal conduct
  • Any content obtained from the Service, including content published to connected social media platforms
  • Unauthorized access, use, or alteration of your transmissions or content
  • Failure of scheduled posts to publish at the designated time or at all
  • Changes to third-party platform APIs or terms that affect the functionality of the Service

In no event shall our aggregate liability exceed the amount you have paid us in the twelve (12) months preceding the event giving rise to the claim.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT SCHEDULED CONTENT WILL ALWAYS BE PUBLISHED SUCCESSFULLY TO THIRD-PARTY PLATFORMS.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination:

  • Your right to use the Service will immediately cease
  • We may delete your account data within 30 days, unless we are required to retain it for legal purposes
  • You may request an export of your data prior to termination
  • Any provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability

You may terminate your account at any time by contacting us or using the account deletion feature in the Service settings.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you hereby consent to the personal jurisdiction and venue of such courts. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect by posting the updated Terms on the Service and notifying you via email or through the Service. What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised Terms.
